1. Eligibility

You may use the Family Service only if:

• You are at least 13 years old,
• You have the legal power to enter into a binding contract with Supaku, and
• Your use of the Family Service is not prohibited under applicable law or by any platform whose services you connect.

If you use the Family Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes both you and the organization.

2. Description of the Family Service

The Family Service helps you:

• Store and organize personal and professional contacts
• Track activities, interactions, and notes related to your contacts
• Set intentions and relationship goals
• Track gifts and important dates
• Integrate with calendars and set reminders
• Use AI-assisted contact enrichment to enhance contact information

The Family Service may integrate with third party services, calendar tools, and AI providers. We may add or remove features and integrations from time to time.

You are responsible for reviewing and complying with the terms and policies of the platforms and tools you connect.

3. Accounts and security

A Supaku Account is required to use the Family Service. The creation, security, and management of your Supaku Account are governed by the Supaku Account Terms of Service.

You are responsible for:

• Maintaining the confidentiality of your login credentials and access tokens
• All activity that occurs under your Supaku Account and connected integrations
• Promptly notifying us at security@supaku.com if you suspect unauthorized access or other security issues

4. Integrations and third party services

When you connect a third party service to the Family Service, you authorize Supaku to:

• Access and use that service in accordance with the permissions you approve
• Retrieve contact data, calendar events, and account information from that service
• Create, modify, or sync data with that service on your behalf when you explicitly request it

Supaku does not control third party services and is not responsible for their actions, terms, or policies. Your use of any third party service is solely between you and that service.

We may suspend or disable an integration if required by the third party, by law, or to protect users and systems.

5. Your content and data

a. Your content

"Your Content" means any contacts, activities, notes, gifts, intentions, or other data you input into or connect to the Family Service, including data imported from third party services.

You retain ownership of Your Content. You grant Supaku a worldwide, non exclusive, royalty free license to host, store, process, modify, and display Your Content as reasonably necessary to:

• Operate and provide the Family Service
• Enrich and organize contact information for you
• Sync data with platforms and tools you authorize
• Maintain backups, logs, and system integrity

You are responsible for ensuring that Your Content does not violate any law, these Terms, or the terms of any platform or service where it appears.

b. AI features

The Family Service uses AI models to enrich contacts and provide suggestions. For purposes of intellectual property rights between you and Supaku, and subject to applicable law and third party terms, we grant you a license to use AI generated content that we present to you through the Family Service.

You are responsible for reviewing all AI generated or enriched data and for ensuring that it is accurate. AI generated content may be inaccurate, incomplete, or inappropriate. It is provided as a tool to assist you and is not a substitute for your own judgment.

c. Use for improvement

You agree that Supaku may use Your Content, in de identified or aggregated form, to develop and improve the Family Service and related features. Where we rely on third party AI providers, Your Content and related data may be processed by those providers under contract for the same purposes.

6. Acceptable use

You agree not to, and not to permit others to:

• Use the Family Service in violation of any applicable law or regulation
• Use the Family Service in a way that violates any third party rights, including privacy, publicity, or intellectual property rights
• Use the Family Service to store, distribute, or transmit harmful or illegal content
• Attempt to interfere with or disrupt the Family Service or its infrastructure
• Attempt to gain unauthorized access to any account, system, or network
• Reverse engineer, decompile, or attempt to derive the source code of the Family Service, except where allowed by law
• Use automated scripts or scraping in a way that burdens our systems beyond normal usage patterns
• Attempt to extract, discover, or reconstruct system prompts, internal instructions, or configuration data used by the Family Service's AI features through prompt manipulation, jailbreaking, prompt injection, or similar techniques
• Intentionally bypass, circumvent, or attempt to disable any safety measures, guardrails, rate limits, or protective mechanisms in the Family Service
• Use inputs or outputs from the Family Service to train, fine-tune, or distill AI models without our prior written authorization

We may investigate and take any action we deem appropriate, including suspending or terminating access to the Family Service, if we reasonably believe you have violated these Terms or applicable law.

7. Fees and payment

We may offer both free and paid plans for the Family Service. Specific pricing, features, and billing terms will be presented at the time of purchase or upgrade and form part of these Terms.

If you sign up for a paid plan:

• You agree to pay all applicable fees and taxes
• Fees are typically billed in advance and are non refundable except where required by law or explicitly stated
• Subscriptions may renew automatically at the then current rate unless you cancel in accordance with the plan terms

We may change prices or plan features with reasonable notice. Changes will not apply retroactively to periods you have already paid for.

8. Termination and suspension

You may stop using the Family Service at any time. You may be able to delete your account or cancel a subscription through settings or by contacting us.

We may suspend or terminate your access to the Family Service, in whole or in part, if:

• You materially or repeatedly breach these Terms or other applicable policies,
• You fail to pay any fees owed,
• We are required to do so by law or by a third party platform, or
• We reasonably believe your use creates risk or harm to other users, Supaku, or the public.

We may immediately suspend or terminate your account without prior notice or refund if we reasonably believe you have:

• Attempted to extract system prompts, internal instructions, or backend data from the Family Service
• Engaged in prompt injection, jailbreaking, or other techniques to bypass AI safety measures or guardrails
• Systematically probed or tested the Family Service for vulnerabilities without authorization
• Used outputs from the Family Service to train or distill AI models without authorization

Where reasonably possible we will give you notice before termination or suspension, but we may act immediately where necessary to protect security or comply with legal obligations.

Upon termination, your right to use the Family Service will end. Sections that by their nature should survive termination will continue to apply, including those relating to ownership, payment obligations, disclaimers, limitations of liability, and indemnification.

9. Disclaimers

The Family Service, including all content and features, is provided "as is" and "as available", without warranties of any kind.

To the fullest extent permitted by law, Supaku disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, and any warranties arising from course of dealing or usage of trade.

Supaku does not guarantee that the Family Service will be uninterrupted, secure, or error free, or that data provided by the Family Service will be accurate, complete, or suitable for your purposes.

The Family Service does not provide legal, financial, investment, medical, or other professional advice. You are responsible for your use of AI enriched data and for verifying the accuracy of contact information.

10. Limitation of liability

To the fullest extent permitted by law:

Supaku will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Family Service, even if we have been advised of the possibility of such damages.

Supaku's total aggregate liability for all claims arising out of or related to the Family Service or these Terms will not exceed the greater of:

• The total amount you paid to Supaku for the Family Service in the twelve months before the event giving rise to the claim, or
• One hundred United States dollars (USD 100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Supaku and its members, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Family Service,
• Your Content or data you choose to store or share,
• Your violation of these Terms or any applicable law, or
• Your violation of any third party right.

We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

12. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to the Family Service are governed by the laws of the State of New York and the United States, without regard to conflict of law rules.

You and Supaku agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Family Service, and you consent to the personal jurisdiction and venue of those courts.

13. Changes to the Family Service and these Terms

We may modify or discontinue all or part of the Family Service at any time, subject to applicable law.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and may provide additional notice where required.

Your continued use of the Family Service after the updated Terms become effective means that you accept the updated Terms.

14. Miscellaneous

Entire agreement. These Terms, together with any additional terms for specific features and the Supaku Account Terms of Service, form the entire agreement between you and Supaku regarding the Family Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver. Supaku's failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign or transfer these Terms or your rights under them without Supaku's prior written consent. Supaku may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
